Zerorez Referral Program Terms & Conditions

1. Overview

This Agreement contains the complete terms and conditions that apply to you becoming a Referral Participant in Zerorez Inc.'s Referral Program (the "Program"). Please note that throughout this Agreement, "we," "us," and "our" refer to Zerorez, and "you," "your," and "yours" refer to the Referral Participant.

2. Eligibility and Referral Requirements

• You must be 18 years of age or older to participate in the Program.
• The Referral Program is available to all existing Zerorez customers and Zerorez employees who reside in serviceable areas of Zerorez locations participating in the Referral Program.
• To be eligible for the Program the Referral Participant must refer a contact (The "Referred Contact") that i) is not an existing customer, or currently in negotiations to become a customer; and ii) lives in the same service area as the Referring Participant.
• Participants must submit the Referred Contact's information via the Referral Program.
• Participants must share referral links provided by the Referral Program to Referred Contacts; Referrals cannot be added on the same browser with an active member session cookie.
• A Referred Contact will be deemed "Approved" when a Referred Contact makes payment for Zerorez services within 60 days of being referred.
• Referred Contacts may be eligible to receive a promotional discount on their initial Zerorez service, see current promotions for details. This promotion cannot be combined with any other offer or promotion.
  
• Referral Participants may provide multiple referrals that meet the requirements of these Terms and Conditions. There is no limit on how many referrals a Referral Participant may give or be compensated for.
• Referred Contacts may only be Approved once. In the event that multiple Referral Participants refer the same Referred Contact, only one Referral Participant shall be eligible for the Referral Incentive, which shall be determined by the last referring link used by the Contact.
• Offer not valid and rewards are not payable for self-referrals.

3. Referral Incentive

Referral Participants that provide Approved Referrals as determined at Zerorez's sole discretion will receive a $25.00 gift card via electronic methods of delivery. Referral Participant will receive the gift card within sixty (60) days following the completion of the Zerorez job for the Approved Referral. Referral Participant is responsible for all taxes and fees associated with receipt and/or use of the gift card as well as reporting the receipt of the gift card as required under applicable federal and state laws. Any Referral Participant who earns over $600 in a financial year must provide Zerorez with a copy of their W9 by email to ssutherland@zerorez.com. Any delays in payment as a result of failure to submit a W9 is not the responsibility of Zerorez or its employees.

Zerorez is not responsible for and will not replace the gift card if it is lost or damaged, is not used within any applicable timeframe, or is misused by the recipient. Zerorez is not responsible for any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Referral Participant's participation in the promotion or receipt or use of the gift card. Referral Participant agrees to indemnify, defend and hold harmless Zerorez from and against any and all claims, expenses, and liabilities (including reasonable attorneys' fees) arising out of or relating to a Referral Participant's participation in the promotion and/or acceptance, use or misuse of the gift card. This offer is sponsored by Zerorez, Inc. and is in no way sponsored, endorsed or administered by, or associated with the entity where the gift card may be used or redeemed.

4. Zerorez Rights.

We reserve the right to cancel the Referral Program without prior notice in its entirety or for a specific referrer at any time for any reason.

All questions or disputes regarding eligibility for the Referral Program will be resolved by Zerorez in its sole discretion.

5. Limitations of Liability

WE WILL NOT BE LIABLE TO YOU WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR GOODWILL OR ANTICIPATED PROFITS OR LOST BUSINESS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, IN NO EVENT SHALL ZEROREZ CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL PAYMENT MADE TO YOU UNDER THIS AGREEMENT.

6. Indemnification

You hereby agree to indemnify and hold harmless Zerorez and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees).

7. Miscellaneous

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Utah without regard to the conflicts of laws and principles thereof. The Parties agree that any action to enforce any term or provision under this Agreement shall be venued in Salt Lake County, Utah, and the Parties waive any claim that Salt Lake City, Utah is an inconvenient forum.

This Agreement represents the entire agreement between us and you, and shall supersede all prior agreements and communications of the parties, oral or written.

The headings and titles contained in this Agreement are included for convenience only and shall not limit or otherwise affect the terms of this Agreement.

If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of this agreement shall have full force and effect.
